To the uninitiated, agreements for corporate acquisitions can appear cumbersome and daunting. Understanding the fundamental concepts of their structure and substantive content is crucial and will arm a lawyer with the basic tools necessary to, among other things, negotiate risk allocation; provide for certainty of closing; and to identify, minimize and ultimately resolve potential disputes arising from such agreements.
The speakers will introduce the audience to the typical architecture of acquisition agreements, including purchase price mechanics, representations and warranties, covenants, closing conditions, and post-closing indemnification provisions. They will also discuss typical “market” approaches to recurring issues.
