Eric B. Udowychenko Joins the Gibbons Corporate Group

Gibbons P.C. is pleased to announce that Eric B. Udowychenko has joined the firm’s Corporate Group as a Director in the Newark, New Jersey, office.

Previously, Mr. Udowychenko was an associate at Geller & Company LLC in New York City, where he led international, federal, state, local, and transfer pricing tax due diligence, structuring, and integration services for client acquisitions of both U.S. and non-U.S. companies, including for deals exceeding $450 million. He also drafted and/or reviewed stock and asset acquisition agreements, disclosure schedules, Section 1060 allocations, investment fund agreements, and memoranda on such topics as foreign tax credits, investment tax credits, prior acquisitions and check-the-box rules, and more. Additionally, he analyzed proposed and final Treasury Department regulations to evaluate impacts on clients’ transactions.

Before Geller & Company, Mr. Udowychenko was a senior associate in M&A and Tax Services at KPMG LLP in New York City, serving buy-side and sell-side clients. There, he was experienced in conducting tax due diligence and tax structuring services for private equity and strategic clients acquiring stock or assets of U.S. and non-U.S. businesses; assisting in tax planning and financial modeling; and reviewing and commenting on purchase agreements. He also analyzed federal, state, local, and international tax issues – from tax audits, transfer pricing, and sales tax, to withholding, interest expense, and net operating losses and beyond – at target companies. Earlier in his career, he was an M&A and Tax Services associate at PricewaterhouseCoopers LLP’s New York City office. Among his responsibilities there was performing tax due diligence for inbound and outbound transactions on issues such as the Foreign Investment in Real Property Tax Act, foreign tax credits, and tax compliance filings. He also optimized the location of intellectual property and considered the effect of Section 901 on foreign tax credits for licensing intellectual property.

Mr. Udowychenko earned his J.D. from New York Law School, cum laude, and his B.S. in finance from Rutgers School of Business. He is admitted to practice in the states of New Jersey and New York.
