Mr. Reilly advises clients on mergers and acquisition transactions on a global basis in a wide range of industries. These transactions include negotiated acquisitions, cross border transactions, strategic divestitures and mergers, competitive auctions, strategic alliances and joint ventures, and distressed company bankruptcy and UCC Article 9 sales. He recently advised a public company on the divestiture of a non-core business with operations worldwide, which included complex intellectual property, regulatory, and international tax issues. Mr. Reilly has advised on more than US $1 billion of public and private transactions.

Mr. Reilly concentrates on corporate and commercial matters, including M&A, corporate finance, and energy project development and investments. He is also experienced in representing tax exempt organizations, having served as outside general counsel for 36 years to the Institute for Supply Management, Inc. (“ISM”), an educational organization serving supply management and purchasing professionals worldwide and the publisher of the ISM Report on Business®. Mr. Reilly has advised on transactions and corporate matters in numerous industries.

Areas of Focus


  • Development of a biomass fueled CPH electric generation facility in County Mayo, Ireland; investment in a one million MW electric generation facility in Astoria, Queens, NY; various investments in electric generation facilities in the U.S., including the formation of a private equity fund dedicated exclusively to energy projects


  • Acquisition of Kmart Canada and subsequent sale to Hudson’s Bay Company; acquisition of NBO Stores, Inc., Pic ‘N Pay Stores, R&S Strauss, Gemini Industries, and Domain, Inc. (retail chain of furniture stores)

Industrial Gas

  • Acquisition of industrial gas distributors in the U.S. and Canada, including strategic merger of specialty, medical, and industrial gas distributor with Praxair Distribution, Inc.

Mobile Cellular and Wireless Communications

  • Management of sponsored buyout from UTStarcom of Personal Communication Devices, LLC, the largest distributor of mobile cellular and wireless communications devices in the U.S.


  • Divestiture of the worldwide HemoCue business by Quest Diagnostics Incorporated to the Danaher Corporation in a competitive auction; sale of home healthcare companies and other healthcare related businesses

Office Equipment and Systems

  • Acquisition of office equipment distributors by Konica Minolta Business Solutions


  • Acquisition of telecommunications carriers across the U.S. for BCN Telecom


  • Mergers, joint ventures, licensing, corporate governance, IRS representation, and other corporate matters
