This session will focus on alleged unlawful conduct by employees for their own benefit, on behalf of their company, and/or against the company. Panelists will discuss the ethical ramifications of such conduct, specifically in terms of the cooperation owed to authorities, the preservation of documents, the duty to apprise the Board or higher level officers, issues surrounding attorney-client and joint defense privileges, and potential conflicts of interest. Generally, this panel will address best practices to avoid ethical landmines and minimize criminal liability.
