Kevin S. Evans

Director, Corporate

Mr. Evans is a Director in the Gibbons Corporate Group based in the firm’s New York office. Having practiced for more than 20 years at leading firms in the United Kingdom, Australia, and the United States, he has extensive experience advising domestic and international clients on their U.S. business and transactional needs, and guiding industry participants of all shapes and sizes on their public-private partnership (P3) and solar renewable energy projects.

He regularly counsels UK and Australian companies on their inbound business interests and other issues they encounter across the United States, drawing on the wealth of multi-disciplinary talent within the firm’s Cross-Border Transactions Team to cover a spectrum of commercial legal issues, including U.S. presence and establishment questions, tax considerations, M&A and joint venture opportunities, negotiations of commercial and financial agreements, real estate, employment issues, intellectual property questions, and litigation.

His transactional and project management skills mean he is often tasked to lead large, multi-disciplinary Gibbons teams on some of the region’s most significant P3 development projects. Mr. Evans customarily provides wide-ranging advice for P3s, including structuring, financing, procurement, construction, property acquisition, development, environmental, and negotiations with various federal, state, and municipal agencies, as well as the coordination of the response to challenges and other litigation that often arises in the course of such significant and complex infrastructure projects that attract the interest of diverse stakeholder groups.

Mr. Evans also has significant experience in solar renewable energy matters, leading and coordinating multiple practice groups and disciplines at the firm to help clients structure, finance, and close complex transactions. He works with developers, investors, site hosts, off-takers, and other industry participants to provide advice that covers their broad spectrum of needs, including structuring to optimize tax credits and other incentive programs; financing through debt, sale-leaseback, and tax-equity investments; mergers, acquisitions, and joint ventures, along with the associated due diligence and risk allocation considerations; and negotiating EPC, PPA, O&M, and other sector specific arrangements. Mr. Evans has led the Gibbons’ team on many of the region’s largest and most sophisticated solar renewable energy and P3 transactions.
